Wyndham Hotels & Resorts is now seeking a Senior Counsel, M&A and Securities to join our team.

We are looking for a Senior Counsel, M&A and Securities to join our dynamic legal team.  In this role, you will support global M&A, capital markets transactions and other corporate development transactions, including the due diligence process, negotiation of confidentiality agreements, term sheets and definitive transaction agreements, closings and integration efforts, development of templates and playbooks for M&A deals and related projects. You will also help support SEC reporting and corporate governance matters, including annual and periodic reports, proxy statements and Section 16 reports.  You will report to Wyndham’s Senior Vice President, Corporate, Securities, Governance & Compliance Officer.

Primary Responsibilities

•    Manage all aspects of domestic and international M&A and other corporate transactions from inception to completion, including performing due diligence, drafting and negotiating confidentiality agreements, letters of intent, definitive transaction agreements and ancillary agreements, and executing closings and post-closing integration.
•    Advise on capital markets transactions and support the Treasury team with respect to ongoing matters related to debt facilities, and assist with various forms of financing in connection with hotel development, including mezzanine lending and preferred equity investments.
•    Collaborate with cross-functional teams to execute corporate transactions, including Corporate Development, Finance, Treasury, Tax, Risk Management, Operations, IT, Compliance and HR, and coordinate with outside counsel.
•    Draft and help prepare deal-related board materials.
•    Assist with the preparation and review of the company’s public disclosures and SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements and Section 16 reports.
•    Develop and implement standardized templates and processes.
•    Support corporate governance matters, the corporate secretary function and other related projects as requested from time to time.

Experience & Education

•    Juris Doctorate from an accredited law school
•    Admission to NJ or another State Bar eligible for NJ in-house limited law license
•    A minimum of 5 years of M&A-related experience in a multinational corporation or law firm
•    Hospitality industry experience a plus

•    Ability to lead deals and work independently with minimal supervision and with high degree of initiative
•    Ability to lead due diligence teams, closings and integration efforts 
•    Excellent negotiation and drafting skills and attention to detail
•    Ability to promptly and effectively respond to questions and concerns from senior management and regulatory agencies
•    Organized self-starter and ability to prioritize workload and manage deadlines and independently develop solutions to adapt to unanticipated complexities or changing conditions
•    Ability to anticipate issues 
•    Ability to define problems, collect relevant information, establish facts, draw valid conclusions and exercise sound discretion and judgment in making decisions and performing duties
•    Strong written and verbal communication skills
