The Role
We are looking for an experienced securities and corporate attorney to join our dynamic legal team. You will provide advice regarding securities disclosure requirements, SEC filings (including proxy statements, annual and periodic reports and Section 16 filings), corporate governance, earnings releases and other investor communications. You will also work closely with the SVP & Corporate Compliance Officer on matters for the Board of Directors, assist with treasury matters, including debt offerings and credit agreements, and help support M&A and other corporate transactions and subsidiary management. You will report to Wyndham’s Senior Vice President - Corporate, Securities, Governance, Privacy & Corporate Compliance Officer.
What you'll do
- Manage all aspects of the preparation and review of the company’s public disclosures and SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements and Section 16 filings.
- Responsible for compliance with SEC and NYSE rules and regulations.
- Advise on investor relations matters, including review of earnings releases, scripts, investor presentations and other communications.
- Assist with the administration of the company’s Insider Trading Policy and 10b5-1 Plans.
- Review, maintain and periodically update various corporate governance documents, policies and practices, including the company’s Charter and Bylaws, Board Committee Charters and other governance documents, independence analyses and related party transactions.
- Assist with the preparation and drafting of agendas, materials, resolutions and minutes for meetings of the company’s Board of Directors and its committees.
- Advise on capital markets transactions and support the Treasury team with respect to ongoing matters related to the company’s debt facilities and other treasury projects.
- Conduct and coordinate research into a variety of securities and governance-related issues. Develop and recommend company policy, positions and procedural improvements regarding securities and governance-related issues.
- Assist with environmental, social and governance projects, including ESG reports and surveys.
- Collaborate with cross-functional teams to execute corporate initiatives, including External Reporting, Executive Compensation, Treasury, Tax, Risk Management, Sustainability, IT and Compliance.
- Support M&A, executive compensation, the corporate secretary function, subsidiary maintenance and other related projects as requested from time to time.
- Develop and implement standardized templates and processes.
You'll be successful if you have
- Ability to identify and resolve legal issues related to public company disclosures and corporate governance through research, analysis and developing practical and well-reasoned solutions.
- Ability to analyze, interpret, and apply laws and regulations. Must maintain current awareness of proposed laws and regulations and effective dates of final rules.
- Ability to promptly and effectively respond to questions and concerns from senior management and regulatory agencies.
- Organized self-starter and ability to prioritize workload and manage deadlines and independently develop solutions to adapt to unanticipated complexities or changing conditions.
- Ability to anticipate issues.
- Ability to define problems, collect relevant information, establish facts, draw valid conclusions and exercise sound discretion and judgment in making decisions and performing duties.
- Ability to work independently with minimal supervision and with high degree of initiative.
- Excellent drafting skills and attention to detail.
- Strong written and verbal communication skills.
Required Qualifications/Experience
- A minimum of 7 years of securities experience, ideally with a combination of experience at a top-tier law firm and in-house at a publicly listed company.
- Significant experience with SEC rules and NYSE rules, particularly as they apply to public company disclosures, board composition, director independence, conflicts and related person transactions.
- Experience drafting and editing corporate governance documents, such as Committee charters and Board presentations.
- Juris Doctorate from an accredited law school.
- Admission to NJ or another State Bar eligible for NJ in-house limited law license.
- Hospitality industry experience a plus.
